CALGARY, Alberta, Jan. 30, 2018 (GLOBE NEWSWIRE) — Todd Montgomery (“Mr. Montgomery”), announces that on January 30, 2018, he disposed of ownership, control or direction of 35,000,000 common shares (the “Shares”) of Canadian Platinum Corp. (the “Company”) pursuant to private dispositions to third parties (the “Dispositions”) for no consideration. The Shares were disposed of by Nevada Capital Holdings Corp., a company wholly owned and controlled by Mr. Montgomery.
Prior to the Disposition, Mr. Montgomery had ownership, control or direction of 51,315,000 common shares, representing 25.09% of the 204,450,829 issued and outstanding common shares of the Company on a partially diluted basis. Following the completion of the Disposition, Mr. Montgomery had ownership, control or direction of 16,315,000 common shares, representing 7.97% of the total number of issued and outstanding common shares of the Company on a partially diluted basis. Mr. Montgomery disposed of the Shares for investment purposes, and has no current intention to increase his beneficial ownership of, or control or direction over, securities of the Company. Potential purchases or dispositions of common shares of the Company will be reviewed on a continuing basis by Mr. Montgomery, and holdings may be increased or decreased in the future.
In order to complete the Disposition, Mr. Montgomery is relying on NI 45-102, s. 2.8 – Exemption for a Trade by a Control Person – by fulfilling the conditions contained therein and electronically filing Form 45-102F1 – Notice of Intention to Distribute Securities – on the Company’s SEDAR Profile at www.sedar.com.
As a result of the Disposition, the number of common shares Mr. Montgomery has ownership, control or direction over has decreased to below 10% of the Company’s issued and outstanding common shares.
