Signature Resources Ltd. (TSXV:SGU) (OTCQB:SGGTF) (“Signature” or the “Company”) is pleased to announce that today it closed the first tranche of a non-brokered private placement of up to $750,000 (“the Financing”) for gross proceeds of $317,000. The Company has also received an additional $125,000 from the exercise of 2,500,000 previously-issued warrants for a combined total of $442,000.

Pursuant to the Financing, the Company issued an aggregate of 1,900,000 hard-dollar units (“Hard-Dollar Units”) at a price of $0.08 per Hard-Dollar Unit, and 1,650,000 flow-through units (“Flow-Through Units”) at a price of $0.10 per Flow-Through Unit. Each Hard-Dollar Unit consists of one common share of the Company (each, a “Common Share”) and one common share purchase warrant (each, a “Warrant”). Each Flow-Through Unit consists of one common share of the Company issued on a flow-through basis and one half of one (1/2) Warrant. Each whole Warrant is exercisable to purchase one Common Share at a price of $0.15 for a period of 24 months from the issue date, provided that if after four months and one day following the closing of the Financing, the closing price of the Common Shares on the TSX Venture Exchange is equal to or greater than $0.25 for 10 consecutive trading days, then the Company may accelerate the expiry date of the Warrants by disseminating a press release and in such case the Warrants will expire on the 90th day after the date on which such press release is disseminated by the Company. In connection with the Financing, the Company paid cash finder’s fees of $13,200 and issued 132,000 finder’s warrants (each, a “Finder’s Warrant”). Each Finder’s Warrant is exercisable to purchase one Common Share at a price of $0.10 for a period of 24 months from the issue date. The Company intends to complete one or more further closings pursuant to the Financing for additional gross proceeds of up to $433,000. Additional tranches may close on or before December 14, 2017.

Signature intends to use the proceeds of the Financing for general working capital purposes, and for the development of the Company’s Lingman Lake Project. Proceeds from the sale of Flow-Through Units will be used to incur eligible Canadian exploration expenses, as defined under the Income Tax Act (Canada) (“Qualifying Expenditures”), on or before December 31, 2018. The Company will renounce the Qualifying Expenditures to investors with an effective date of no later than December 31, 2017.

Securities issued pursuant to the first tranche closing of the Financing are subject to a statutory four-month plus one day hold period, which will expire on March 15, 2018.
