CALGARY, Alberta, Oct. 17, 2017 (GLOBE NEWSWIRE) —  CES Energy Solutions Corp. (“CES” or the “Company”) (TSX:CEU) (OTC – Nasdaq Intl:CESDF)  today announced that it has agreed to issue and sell CDN $300 million aggregate principal amount of 6.375% senior unsecured notes due October 21, 2024 (the “Notes”), on a private placement basis (the “Private Placement”). The Notes will be issued at par under a new indenture and interest thereon will be payable semi-annually in arrears beginning April 21, 2018. The Notes will be guaranteed on a senior unsecured basis by current and future subsidiaries of CES that also guarantee the Company’s credit facility.  The Private Placement is expected to close on or about October 20, 2017, subject to customary closing conditions.

The net proceeds from the issuance of the Notes will be used to redeem the CDN $300 million aggregate principal amount of outstanding CDN dollar denominated 7.375% Senior Unsecured Notes due 2020 (the “7.375% Notes”). The redemption date in respect of the 7.375% Notes is expected to be November 18, 2017 (the “Redemption Date”) and it is anticipated that the redemption price for each $1,000.00 principal amount of the 7.375% Notes is $1,043.35 (the “Redemption Price”), being equal to the aggregate of (i) $1,036.88 for each $1,000.00 principal amount of the 7.375% Notes redeemed, plus (ii) approximately $6.47 for each $1,000.00 principal amount in accrued and unpaid interest to, but not including, the Redemption Date. The Redemption Price will be due and payable on or after the Redemption Date upon presentation and surrender for redemption of the 7.375% Notes at the offices of the Trustee in its capacity as Paying Agent in respect of the 7.375% Notes.

These transactions will decrease CES’ annual interest costs, extend its debt maturity profile and provide additional financing flexibility.

Scotia Capital Inc. and National Bank Financial Inc. are acting as joint book-running managers for the Private Placement which also includes AltaCorp Capital Inc., Raymond James Ltd., Canaccord Genuity Corp. and Peters & Co. Limited as co-managers.
