LAS VEGAS, Oct. 06, 2016 (GLOBE NEWSWIRE) — Pinnacle Entertainment, Inc. (NASDAQ:PNK) (“Pinnacle”) announced today that it has priced the previously announced private offering of additional 5.625% Senior Notes due 2024 (the “additional 2024 notes”). The principal amount of the additional 2024 notes is $125.0 million and the notes will be issued at a price equal to 100.5% of their face value. The additional 2024 notes will bear an interest rate of 5.625% per annum and will mature on May 1, 2024.
The additional 2024 notes to be issued in this offering will constitute a further issuance of, and form a single series with, the $375.0 million in aggregate principal amount of 5.625% Senior Notes due 2024 that Pinnacle issued on April 28, 2016. Pinnacle intends to use the net proceeds from the proposed offering to repay a portion of the outstanding borrowings under its revolving credit facility.
The additional 2024 notes have not been registered under the Securities Act of 1933, as amended (the “Securities Act”), or any state securities laws and may not be offered or sold in the United States or to any U.S. persons absent registration under the Securities Act, or pursuant to an applicable exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws.
