(the “Company”) (NASDAQ:BCBP), the parent company of BCB Community Bank (the “Bank”), announced that on October 29, 2015, it priced a $24 million offering of 2,400,000 shares of its common stock at a public offering price of $10.00 per share. The offering is expected to result in gross proceeds of approximately $24,000,000 and net proceeds of approximately $22,117,950, after underwriting discounts and estimated expenses for the offering. The shares will be issued pursuant to an effective shelf registration statement on Form S-3 (File No. 333-199424) and a prospectus supplement previously filed with the Securities and Exchange Commission  (the “SEC”).    

Sandler O’Neill + Partners, L.P. is serving as the sole book-running manager for the offering. Janney Montgomery Scott LLC and Oppenheimer & Co. Inc. are acting as co-managers for the offering. The Company has granted the underwriters a 30-day option to purchase from the Company up to an additional 15% of the amount of the Company’s common stock offered to cover over-allotments, if any.

The Company intends to use the net proceeds from the offering for general corporate purposes, including maintaining liquidity, supporting core business growth, the possible early retirement of debt, future acquisitions, funding working capital needs and maintaining the Company’s capital and liquidity ratios, and the ratios of the Bank, at acceptable levels.
