PORT WASHINGTON, N.Y., Oct. 14, 2015 (GLOBE NEWSWIRE) — ACETO Corporation (NASDAQ:ACET), a global leader in the marketing, sale and distribution of Human Health products, Pharmaceutical Ingredients and Performance Chemicals, today announced that it has filed a universal shelf registration statement with the Securities and Exchange Commission to allow ACETO to potentially offer an indeterminate principal amount and number of securities in the future with a proposed maximum aggregate offering price of up to $200,000,000.

Under the shelf registration statement, ACETO Corporation will have the flexibility to publicly offer and sell from time to time common stock, debt securities, preferred stock, warrants and units or any combination of such securities. ACETO may periodically offer one or more of these securities in amounts, at prices and on terms announced if and when the securities are ever offered. The specifics of any potential future offerings, along with the use of proceeds of any such securities offered by ACETO Corporation, will be described in detail in a prospectus supplement at the time of any such offering.

Sal Guccione, ACETO President and Chief Executive Officer, said, “Like many public companies who file these types of registration statements, our filing reflects our objective to enable growth by enhancing our ability to raise capital in the future. We intend to position ACETO to act opportunistically to expand our business through potential acquisitions and investments in other internal and external growth opportunities.”

The shelf registration relating to the securities described in this news release has been filed with the Securities and Exchange Commission but has not yet become effective. These securities may not be sold, nor may offers to buy be accepted, prior to the time that ACETO’s registration statement becomes effective. This news release shall not constitute an offer to sell or the solicitation of an offer to buy, nor shall there be any sale of these securities in any state or jurisdiction in which such offer, solicitation or sale would be unlawful prior to the registration or qualification under the securities laws of any such state or jurisdiction. Any offering of these securities will be made solely by means of a prospectus and an accompanying prospectus supplement relating to that offering. A copy of the registration statement on Form S-3, the prospectus included in the registration statement and prospectus supplements relating to offerings under the registration statement, when available, may be obtained on the SEC’s website at www.sec.gov.
