(the “Company”) (TSXV:CLN.H), a capital pool company pursuant to Policy 2.4 of the TSX Venture Exchange (the “TSXV”), announces the termination of the binding letter of intent with Ronin Blockchain Corp., a wholly-owned subsidiary of Datametrex AI Limited, for the proposed combination of the businesses of the two companies. The transaction was intended to constitute the Company’s Qualifying Transaction (as such term is defined by the TSXV). The common shares of the Company will commence trading on the TSXV again at the open of the market on November 20, 2018.

The Company does not have any operations and has no assets other than cash. The Company’s business is to identify and evaluate businesses and assets with a view to completing a Qualifying Transaction under the policies of the TSXV.
